It applies to accounts created on or after 10 October 2026; for accounts created before then it applies from 24 October 2026. The previous version, 2.3, was dated 3 October 2026 and is kept here for reference.
These Terms of Service ("Terms") govern your access to and use of the services provided by UtilitySEO Ltd ("we", "us", "our") through utilityseo.com and app.utilityseo.com (the "Services").
By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
1. Definitions
- "Agreement" means these Terms of Service together with our Privacy Policy, Cookie Policy, and Acceptable Use Policy
- "Services" means the UtilitySEO website analysis and SEO insights platform
- "Subscription" means a paid plan (Minimum, Entrepreneur or Enterprise) that grants access to the Services
- "User Content" means any data, URLs, or information you submit to the Services, and any data we retrieve on your behalf from accounts you connect, including Google Search Console search performance data and data gathered by crawling websites you have added
- "Aggregated Data" means anonymised, aggregated statistics derived from User Content which do not identify you, your business or your website, and cannot be reversed to do so
- "Free Trial" means access to a paid plan at no charge for a limited period: 14 days of the Minimum plan, with no payment card required. A partner, affiliate, referral, team or promotional code may give a longer Free Trial or a higher plan during the Free Trial (the code sets which). When a Free Trial ends, access pauses until you choose a paid plan

4. Subscription Plans & Billing
4.1 Plan Tiers
- Free Trial: 14 days of the Minimum plan, no payment required. See section 1.
- Minimum: £39 a month or £390 a year. 1 seat, 1 project, up to 500 tracked keywords and 3 competitors per project, 3 website scans a day of up to 500 pages each. AI features and growth blogs are not included.

- Enterprise: £99 a month or £990 a year. Unlimited seats, projects, competitors, website scans (of up to 10,000 pages each) and AI features, up to 10,000 tracked keywords per project, 100 growth blogs a month across all projects, and white-label client reports, subject to section 4.6.
Prices include any applicable VAT. Yearly billing is charged in advance for twelve months. The features and limits of each plan are described on our pricing page. Monthly allowances reset each month and unused allowances do not roll over.
4.2 Payment
All paid subscriptions are processed through Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis. Prices are displayed inclusive of any applicable VAT.
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will receive a reminder email prior to each renewal.
4.4 Price Changes
We may change subscription prices with at least 30 days' written notice by email. If you do not want to pay the new price, you may cancel before it takes effect and you will not be charged it. Continued use of the Services after a price change takes effect constitutes acceptance of the new price.
4.5 Fair Use and Usage Limits
To keep the Services reliable for everyone and to manage the cost of the third-party data and AI providers we rely on, we may set, apply or change usage limits on any feature of any plan, including features described as unlimited. This includes limits on website scans, pages crawled, tracked keywords, competitors, AI checks, brand-tracking runs and API requests. Where a change to a limit materially reduces what your plan includes, we will tell you by email or in the Services before it applies, and you may cancel under section 5.
4.6 Fair use on the Enterprise plan
Enterprise includes unlimited projects, seats, competitors, site scans and AI features, subject to fair use. Growth blogs (full blog posts written by UtilitySEO) are limited to 100 a calendar month in total across all projects on the account. AI features and site scans are for the account's normal business use; automated, scripted or resold use, or use far beyond that of a typical business, is not fair use. If an account's use is excessive we may temporarily limit it and will contact you to agree a suitable arrangement. Allowances reset at midnight UK time (daily) or on the 1st of each month (monthly).
5. Cancellation & Refunds
5.1 How to Cancel
You may cancel your subscription at any time through your account settings or by contacting us at support@utilityseo.com. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.
5.2 14-Day Cooling-Off Period
If you are a consumer resident in the United Kingdom, you have a statutory right to cancel within 14 days of purchase under the Consumer Contracts Regulations 2013. However, by subscribing to a paid plan and ticking the acknowledgement checkbox at checkout, you explicitly request that we begin providing the Services immediately and acknowledge that you will lose your right to cancel without charge once the service has commenced.
If you cancel within 14 days and have not yet used any paid features, you may be entitled to a full refund. Contact support@utilityseo.com within 14 days of purchase to make a refund request.
5.3 Fraud Prevention & Cancellation Records
To protect the integrity of our Services and prevent abuse of free trial or introductory offers, we maintain a cancellation record that includes your email address, Stripe Customer ID, card fingerprint, IP address at registration, and cancellation date.
Closing your account deactivates it rather than erasing it. We retain your email address after closure, so that the same address cannot be used to claim introductory offers and promotional codes repeatedly. The other elements of the cancellation record are retained for 3 years. You may ask us to erase your email address by emailing support@utilityseo.com. Section 7 of our Privacy Policy sets out the full retention position.
5.4 No Refunds Outside Cooling-Off
Outside the 14-day cooling-off period, all subscription fees are non-refundable except at our sole discretion or where required by law.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws or regulations
- Scan websites you do not own or do not have permission to analyse
- Attempt to reverse engineer, decompile, or extract source code from the Services
- Use automated scripts, bots, or other tools to make excessive requests beyond your plan limits
- Resell, sublicense, or redistribute access to the Services without our written consent
- Attempt to gain unauthorised access to our systems or other users' accounts
- Upload or transmit malicious code, viruses, or harmful data
Violation of these restrictions may result in immediate account suspension without refund.
7. Intellectual Property
7.1 Our IP
The Services, including all software, designs, logos, text, and data compilations, are owned by UtilitySEO Ltd or our licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Services solely for your internal business purposes.
7.2 Your Content
You retain ownership of your User Content. We do not claim ownership of your data.
By using the Services, you grant us a non-exclusive, royalty-free licence to:
- (a) process your User Content in order to provide the Services to you
- (b) store your User Content for as long as your account remains open, including search performance data and website audit data, so that we can show you trends over periods longer than your connected accounts themselves retain. We do not delete this data on a rolling schedule
- (c) create Aggregated Data from User Content, and use it to operate and improve our Services. Aggregated Data that we publish externally, including benchmarks and research, is derived only from website crawl data and our own keyword data, never from search performance data retrieved from your connected Google Search Console account
Aggregated Data never identifies you, your business or your website, and cannot be reversed to do so. We do not sell your identifiable data, your website's search performance, or your rankings to anyone. This licence survives termination in respect of Aggregated Data only, because such data can no longer be associated with you.
7.3 Keyword search volumes
Keyword search volume figures shown in the Services are derived from our own Google Ads account, not from any customer's data.
8. Third-Party Services
Our Services integrate with third-party providers, including Google (PageSpeed Insights, Search Console, Analytics and Ads APIs), Anthropic, OpenAI, Perplexity, Stripe, Resend, Railway, Vercel and Amazon Web Services. Our Privacy Policy lists what each receives.
Website analysis scores may vary due to factors outside our control, including server geography and network conditions. We do not guarantee specific performance scores or results.
8.1 AI features
Where you use AI brand tracking, we send the brand names, competitor names and keywords you configure to public AI assistants, including ChatGPT, Claude, Gemini and Perplexity, in order to record whether your business is mentioned in their answers.
You must not enter confidential information into these fields. Anything you enter will be sent to those providers and handled under their terms, which we do not control.
Output produced by AI features may be inaccurate or incomplete. You are responsible for reviewing it before acting on it.
8.2 Data processing for your website's visitors
If you add the UtilitySEO tracking tag to your website, we process your visitors' pseudonymous visitor ID, the pages they view and the referring page on your behalf. For that data you are the controller and we are your processor, and this section is the data processing agreement between us (UK GDPR Article 28):
- We process it only to provide the Services to you, on your documented instructions, which are these Terms and your settings.
- Everyone at UtilitySEO who can access it is bound by confidentiality.
- We keep it secure (section 11 of our Privacy Policy describes how) and keep it for 13 months, then delete it, or sooner when you remove the tag or close your account.
- We use the sub-processors listed in our Privacy Policy and will tell you before adding a new one, so you can object.
- We will help you respond to your visitors' requests to exercise their rights, and tell you without undue delay if we become aware of a personal data breach affecting this data.
- On request we will give you the information you need to show you meet your obligations.
- You are responsible for telling your visitors about the tag in your own privacy notice and for getting any consent the law requires before it runs.
9. Support access
To investigate a problem you report, or a fault we detect in your account, a member of our staff may open your account and view it as you would see it. Such access is limited to what is needed to diagnose and fix the problem, is time-limited, and is recorded in our internal audit log. We do not change your settings, connect or disconnect services, or export your data during support access unless you have asked us to. By using the Services you agree to this access.
10. Disclaimers & Limitation of Liability
10.1 As-Is Service
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.
10.2 Limitation of Liability
To the maximum extent permitted by law, our total liability to you for any claims arising from or related to these Terms or the Services shall not exceed the greater of: (a) the total fees you have paid to us in the 12 months preceding the claim, or (b) £100. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
10.3 Consumer Rights
Nothing in these Terms affects your statutory rights as a consumer under UK law, including rights under the Consumer Rights Act 2015.
11. Termination
We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent or unlawful conduct, fail to pay amounts due, or use the Services in a way that threatens the security or performance of the platform. Upon termination, your right to use the Services ceases immediately.
On closure of your account we delete your personal data and the data retrieved from your connected accounts within 30 days, subject to the exceptions set out in section 7 of our Privacy Policy.
12. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also be entitled to use online dispute resolution services or contact the Citizens Advice Bureau.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
